These Terms of Service ("Terms") govern your access to and use of the Medics Link mobile application, website and related services (together, the "Platform"), operated by MedicsLink ("MedicsLink", "we", "us" or "our"). By creating an account or using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.
1. Who we are and what the Platform does
MedicsLink is a technology marketplace that connects independent healthcare professionals ("Professionals") with hospitals, clinics, laboratories and other healthcare providers ("Organizations") for full-term, locum and shift based engagements ("Engagements"). Professionals and Organizations are together referred to as "Users".
MedicsLink is a neutral intermediary. We are not a hospital, clinic, healthcare provider, staffing agency or employer. We do not provide medical care, supervise the delivery of clinical services, or employ Professionals. We do not control, and are not a party to, the working relationship between a Professional and an Organization, except to facilitate introductions, scheduling and payment through the Platform.
2. Eligibility
To use the Platform you must:
- Be at least 18 years of age and able to form a legally binding contract.
- Provide accurate, current and complete information during registration and keep it up to date.
- If a Professional, hold and maintain a valid, current licence or registration with the relevant Nigerian regulator (for example the Medical and Dental Council of Nigeria, the Nursing and Midwifery Council of Nigeria, or the Pharmacists Council of Nigeria) and any required indemnity insurance.
- If an Organization, be a duly registered and lawfully operating healthcare entity authorised to engage healthcare personnel.
3. Accounts, verification and credentials
You are responsible for safeguarding your login credentials and for all activity under your account. You must notify us immediately of any unauthorised use.
The Platform requires Professionals to upload credentials (such as professional licences and indemnity insurance) and may require Organizations to complete verification ("KYC"). Verification by MedicsLink is a limited administrative check and is not a guarantee of any Professional's competence, fitness, qualifications or the suitability or safety of any Organization. Organizations remain solely responsible for independently confirming that any Professional is appropriately licensed and competent for the Engagement, and Professionals remain responsible for keeping every credential current and valid.
4. Engagements, shifts and cancellations
The Platform lets Organizations post shifts and lets Professionals apply for, accept or claim them. Once a shift is accepted, both parties are expected to honour it. Late cancellation, no-shows or failing to fill an accepted shift may result in restricted access, lower ratings, withheld payment or removal from the Platform. Each Engagement is a direct arrangement between the Professional and the Organization; the agreed scope, hours and rate are between those parties.
5. Independent contractor status
Professionals act as independent contractors. Nothing on the Platform creates an employment, agency, partnership or joint-venture relationship between Medics Link and any User, or between an Organization and MedicsLink. Professionals are responsible for their own taxes, statutory contributions and insurance.
6. Fees, escrow and payouts
MedicsLink facilitates payment for Engagements through a third-party payment gateway. Funds for an Engagement are charged to the Organization and held in escrow until the shift is completed and approved, at which point the funds, less the applicable MedicsLink service fee, are released to the Professional's verified payout account.
- Service fees and any platform charges are disclosed in-app and may be updated from time to time.
- Payouts are made only to a payout account that has been verified through the gateway. You are responsible for the accuracy of your payout details.
- MedicsLink does not store full bank or card numbers; payment processing is handled by our gateway provider under its own terms.
7. Subscriptions and in-app purchases
Certain features are offered to Organizations on a subscription basis. Subscriptions purchased through the Apple App Store or Google Play are billed and managed by the relevant store under its terms, including auto-renewal. You manage and cancel store-billed subscriptions in your App Store or Google Play account. Except where required by law, fees already paid are non-refundable.
8. Professional conduct and patient safety
Professionals must deliver services in accordance with the lawful standards of their profession, applicable clinical guidelines, and the policies of the Organization at which they work. Professionals must hold valid indemnity cover appropriate to the services performed. Organizations must provide a safe and lawful working environment and accurate information about each shift. Medics Link is not responsible for the clinical care provided during any Engagement.
9. Confidentiality and data protection
Users must comply with all applicable laws on medical confidentiality and the protection of personal data, including the Nigeria Data Protection Act 2023 and any applicable regulations. Patient information accessed during an Engagement must be kept strictly confidential and used only as permitted by law and the Organization. Our handling of your personal data is described in our Privacy Policy.
10. Ratings, reviews and content
Users may rate and review one another after an Engagement. Reviews must be honest, lawful and based on a genuine experience. You grant MedicsLink a non-exclusive, royalty-free licence to host and display the content you submit. You are responsible for the content you post and must not post anything unlawful, defamatory, misleading or that infringes the rights of others.
11. Prohibited conduct
You agree not to:
- Provide false credentials, impersonate any person, or misstate your qualifications or identity.
- Circumvent the Platform's payment system or solicit Users to transact off the Platform to avoid fees.
- Use the Platform for any unlawful purpose or in breach of professional regulations.
- Interfere with, disrupt, scrape or attempt to gain unauthorised access to the Platform.
12. Disputes between Users
Disputes arising from an Engagement are primarily the responsibility of the Professional and the Organization involved. MedicsLink may, at its discretion, provide tools to help resolve payment or shift disputes (including holding or reversing escrowed funds), but we are not obliged to mediate and our decision in operating these tools does not make us a party to the underlying dispute.
13. Disclaimers
The Platform is provided "as is" and "as available" without warranties of any kind, whether express or implied. We do not warrant that the Platform will be uninterrupted, error-free or secure, or that any Professional, Organization, listing or credential is accurate, lawful or suitable. MedicsLink does not provide medical advice and is not liable for the acts or omissions of any User.
14. Limitation of liability
To the maximum extent permitted by law, MedicsLink and its officers, employees and partners will not be liable for any indirect, incidental, special or consequential loss, or for loss of profit, data, goodwill, or for any clinical outcome, arising out of or in connection with your use of the Platform. Our total aggregate liability for any claim relating to the Platform will not exceed the total service fees you paid to MedicsLink in the three (3) months before the event giving rise to the claim.
15. Indemnification
You agree to indemnify and hold harmless MedicsLink from any claims, losses, liabilities and expenses (including reasonable legal fees) arising from your use of the Platform, your Engagements, your breach of these Terms, or your violation of any law or the rights of any third party.
16. Suspension and termination
We may suspend or terminate your access at any time if you breach these Terms, provide false information, create risk to patients or other Users, or where required by law. You may stop using the Platform at any time. Provisions that by their nature should survive termination (including fees owed, confidentiality, disclaimers, limitation of liability and indemnity) will survive.
17. Governing law and dispute resolution
These Terms are governed by the laws of the Federal Republic of Nigeria. Subject to any non-waivable rights, disputes between you and MedicsLink that cannot be resolved amicably will be submitted to the exclusive jurisdiction of the competent courts of Nigeria, or to arbitration where the parties so agree in writing.
18. Changes to these Terms
We may update these Terms from time to time. Where changes are material, we will provide notice through the Platform. Your continued use after the changes take effect constitutes acceptance of the updated Terms.
